Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

As part of its periodic review of the Code of Ethical Business Conduct (the “Code”), on July 30, 2024, ÐÓ°ÉÊÓƵ¹ÙÍø Corporation's (the “Corporation”) Board of Directors approved and adopted certain amendments to the Code. The amendments include incorporating the important role of managers in fostering an ethical culture, highlighting key points from the Corporation’s sustainability report, and addressing certain risks associated with the use of Generative Artificial Intelligence applications. The amended Code also includes other clarifying, stylistic and non-substantive revisions. The Code does not materially change the responsibilities and obligations that applied previously and did not relate to or result in any waiver, explicit or implicit, of any provision of the previous Code.

The summary of the amendments to the Code included in this current report on Form 8-K is qualified in its entirety by reference to the full text of the Code, as amended, which can be found on the Corporation’s website at www.ussteel.com under “About Us - Ethics & Compliance.” The contents of the Company’s website are not incorporated by reference in this report.
